1. Acceptance of Terms

By accessing or using PortfolioDevs ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms apply to all users of the Platform, including clients seeking developers, developers offering their services, and visitors browsing the Platform.

2. Description of Service

PortfolioDevs is a platform that connects startups and businesses with pre-vetted remote software developers. Our services include:

• Developer matching and placement services
• Vetting and verification of developer skills
• Project management tools and communication channels
• Payment processing and invoicing services
• Support and dispute resolution

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, including for violation of these Terms or for any other reason we deem appropriate.

4. Client Terms

If you are a client using PortfolioDevs to hire developers:

• You agree to pay for services rendered according to the agreed-upon rates
• You will provide clear project requirements and timely feedback
• You understand that developers are independent contractors, not employees
• You agree to our 2-week risk-free trial policy for new developer engagements
• You will not directly solicit developers to work outside the Platform during the engagement period

5. Developer Terms

If you are a developer offering services through PortfolioDevs:

• You represent that all information in your profile is accurate and truthful
• You agree to complete our vetting process before being listed on the Platform
• You will deliver work according to agreed-upon specifications and timelines
• You understand that PortfolioDevs takes a service fee from engagements
• You will maintain professional communication with clients at all times
• You will not solicit clients to work outside the Platform during active engagements

6. Payments and Fees

All payments are processed through our secure payment system. Clients agree to pay according to the billing terms established for their engagement (hourly or monthly).

PortfolioDevs charges a platform fee for our matching and support services. This fee is included in the rates displayed on the Platform.

Refunds and disputes will be handled according to our Refund Policy and through our support team.

7. Intellectual Property

Work product created by developers for clients during engagements belongs to the client, unless otherwise agreed in writing.

The PortfolioDevs name, logo, and all related trademarks, service marks, and content on the Platform are the property of PortfolioDevs and may not be used without our prior written consent.

8. Confidentiality

Both clients and developers agree to maintain the confidentiality of proprietary information shared during engagements. This includes but is not limited to business plans, technical specifications, source code, and trade secrets.

9. Limitation of Liability

To the maximum extent permitted by law, PortfolioDevs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to PortfolioDevs in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless PortfolioDevs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform or violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
